Termintation Clause

Pada umumnya, hampir semua  kontrak mengandung pasal tentang pemutusan kontrak (termination clause) oleh salah satu pihak (umumnya owner) apabila  terjadi beberapa kondisi tertentu yang terkait dengan pelanggaran (breach) yang dilakukan oleh pihak lainnya (dalam hal ini contractor). Pemutusan kontrak berdasarkan pasal ini biasa disebut dengan termination for cause. Pasal pemutusan kontrak jenis ini juga berisi definisi jenis-jenis kelalaian atau pelanggaran yang dilakukan oleh contractor sehingga owner dapat memutuskan kontrak, dan juga menguraikan tentang hak contractor untuk mengatasinya terlebih dahulu sebelum kontrak diterminasi.

Berikut contoh pasal termination for cause.

Termination for Cause: If the CONTRACTOR fails to fulfill its obligations under this Contract properly and on time, or otherwise violates any provision of the Contract, the Department may terminate the Contract. Prior to terminating this contract, the DEPARTMENT shall give the CONTRACTOR thirty (30) days prior  written notice of such default and if the CONTRACTOR has not cured such default within the thirty (30) day period, the DEPARTMENT may, by written notice, not less than five (5) days after expiration of this period, terminate the Contract. The notice shall specify the acts or omissions relied on as cause for termination. All finished or unfinished supplies and services provided by the CONTRACTOR shall, at the DEPARTMENT’s option, become the State’s property. The DEPARTMENT shall pay the CONTRACTOR fair and equitable compensation for satisfactory performance prior to receipt of notice of termination, less the amount of damages caused by the CONTRACTOR’s breach. If the damages are more than the compensation payable to the CONTRACTOR, the CONTRACTOR will remain liable after termination and the DEPARTMENT can affirmatively collect damages. Termination hereunder, including the determination of the right and obligations of the parties, shall be governed by the provisions of COMAR 21.07.01.11B. 1)

Selain termination for cause, kontrak pada umumnya juga mengandung sebuah pasal yang mengijinkan owner untuk memutuskan kontrak berdasarkan pertimbangan kemanfaatan/kenyamanannya sendiri, tanpa adanya kelalaian dari contractor. Pemutusan kontrak jenis ini disebut dengan termination for convenience.

Berikut contoh pasal termination for convenience.

Termination for Convenience: The performance of work under this Contract may be terminated by the DEPARTMENT in accordance with this clause in
whole, or from time to time in part, whenever the DEPARTMENT shall determine that such termination is in the best interest of the State. The DEPARTMENT will pay all reasonable costs associated with this Contract that the CONTRACTOR has incurred up to the date of termination and all reasonable costs associated with termination of the Contract; provided, however, that the CONTRACTOR shall not be reimbursed for any anticipatory profits which have not been earned up to the date of termination. Termination hereunder, including the determination of the rights and obligations of the parties, shall be governed by the provisions of COMAR 21.07.01.12A(2). 2)

Atau

 “Owner may at any time and for any reason terminate Contractor’s services and work at Owner’s convenience. Upon receipt of such notice, Contractor shall, unless the notice directs otherwise, immediately discontinue the work and placing of orders for materials, facilities and supplies in connection with the performance of this Agreement.

Upon such termination, Contractor shall be entitled to payment only as follows: (1) the actual cost of the work completed in conformity with this Agreement; plus, (2) such other costs actually incurred by Contractor as are permitted by the prime contract and approved by Owner; (3) plus ten percent (10%) of the cost of the work referred to in subparagraph (1) above for overhead and profit. There shall be deducted from such sums as provided in this subparagraph the amount of any payments made to Contractor prior to the date of the termination of this Agreement. Contractor shall not be entitled to any claim or claim of lien against Owner for any additional compensation or damages in the event of such termination and payment.”3)
